TERMS OF USE

By accessing or using the Asian Rentals platform (the "Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms apply to all users of the Platform, including visitors, registered users, machine owners, and service seekers. Asian Rentals Private Limited ("Asian Rentals," "we," "us," or "our") reserves the right to modify these Terms at any time. Continued use of the Platform after modifications constitutes acceptance of the revised Terms.

Asian Rentals operates as an intermediary marketplace that matches equipment owners ("Asset Owners") with renters, hirers, and project execution parties. Our Platform: • Acts solely as an intermediary connecting asset owners with project operators and contractors • Does not own, operate, or maintain any machinery listed on the Platform • Facilitates matching between parties but is not a party to any equipment rental or service contract • Provides project management tools, logistics coordination, and execution support as additional services By using this Platform, both asset owners and hirers acknowledge the intermediary nature of our services and agree that all contractual obligations for equipment performance are between the contracting parties.

Asian Rentals operates a digital marketplace and project execution platform that connects: • Machine owners seeking to rent, lease, or sell heavy construction and utility equipment • Project owners, EPC contractors, and businesses seeking to hire or procure such equipment • Operators and technical personnel for infrastructure projects We do not own, operate, or maintain the machinery listed on our platform. We act as an intermediary connecting parties.

To access certain features, businesses and corporations must register for an account. You agree to: • Provide accurate corporate information including company name, GSTIN, registered address, and authorized contact details • Maintain and promptly update your corporate account information • Keep your corporate login credentials strictly confidential and restrict access to authorized personnel only • Accept full responsibility for all activities conducted under your corporate account • Notify us immediately of any unauthorized use of your account Corporate accounts represent the legal entity, not an individual. The organization is responsible for ensuring all persons who access the Platform via corporate credentials comply with these Terms. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

You are strictly prohibited from: • Reverse-engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the Platform software • Scraping, harvesting, or systematically extracting fleet data, pricing data, supplier information, or any other data from the Platform using automated tools, bots, or scripts • Using the Platform data to build competing services or databases • Circumventing our platform by conducting transactions outside the Platform with parties discovered through it • Posting false, misleading, or fraudulent equipment listings or project requirements • Using the Platform to engage in any unlawful activity under Indian law • Engaging in harassment, discrimination, or abusive behaviour toward other users • Violating any applicable local, national, or international laws or regulations Violations may result in immediate account suspension, permanent ban, and legal action under the IT Act, 2000 and applicable Indian laws.

Asset Owners listing equipment on the Platform agree to: • Provide accurate descriptions of equipment specifications, condition, age, and availability • Submit valid ownership documents or proof of authority to list • Comply with all applicable licensing, insurance, and safety requirements • Keep listing information current and promptly remove unavailable equipment All pricing displayed is indicative. Final pricing is agreed between parties and Asian Rentals may charge a platform facilitation fee. Asian Rentals does not guarantee the accuracy of listings or the quality of equipment. Users are advised to conduct appropriate due diligence before transacting.

To the maximum extent permitted by applicable law, Asian Rentals Private Limited shall not be liable for: • Any indirect, incidental, special, consequential, or punitive damages • Loss of profits, data, goodwill, or business interruption • Damages arising from machinery downtime, equipment malfunction, or operator negligence during project execution • Project delays caused by site conditions, regulatory issues, or force majeure events • Discrepancies between user-submitted contract terms and actual project outcomes • Any transactions between users that result in loss or dispute Our total liability to you for any claim arising out of these Terms shall not exceed the fees paid by you to Asian Rentals in the three (3) months preceding the claim. As an intermediary marketplace, Asian Rentals is not responsible for the performance, quality, or safety of equipment provided by third-party asset owners listed on our Platform.

All content on the Platform — including but not limited to logos, text, graphics, UI design, data, and software — is the exclusive property of Asian Rentals Private Limited or its licensors. You may not reproduce, distribute, modify, or create derivative works without our express written consent. User-generated content (listing descriptions, photos) remains the property of the user, but you grant us a non-exclusive, royalty-free license to display it on the Platform.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra. For disputes involving amounts under ₹5,00,000, parties agree to first attempt resolution through good-faith negotiation, followed by mediation before initiating legal proceedings.
